Terms of Service

1. Acceptance
By accessing or using SubShare (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms form a legally binding agreement between you (or the company you represent) and SubShare. "You" refers to the individual or entity using the Service. If you are using SubShare on behalf of a company, you represent that you have the authority to bind that company to these Terms.
2. Description of Service
SubShare is a cloud-based platform that enables General Contractors to organise job-site information and share documents with subcontractors via time-limited, tokenised access links ("magic links"). Subcontractors access shared content without requiring an account.
SubShare is a business tool intended for use by construction companies, contractors, and their teams. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.
3. Accounts
- You must provide a valid email address and accurate company information when registering.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately if you suspect unauthorised access to your account.
- You must not share your account credentials with third parties or create accounts on behalf of others without their consent.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Magic Links & Subcontractor Access
- Magic links grant time-limited, read-only access to a project's documents. They do not require subcontractors to create an account.
- As the General Contractor creating an invite, you are responsible for the accuracy of the subcontractor's phone number.
- By creating a magic link invite that includes SMS delivery, you confirm that you have obtained the subcontractor's consent to receive an SMS from SubShare on your behalf, in compliance with applicable law (including GDPR and PECR).
- You may revoke a magic link at any time. Revocation takes effect immediately.
- Magic links automatically expire at the date you set. You may extend expiry as needed.
- You are responsible for any project information shared via magic links. Do not share links that grant access to confidential data without appropriate authorisation.
5. User Content
You retain full ownership of all documents, files, and data you upload to SubShare ("User Content").
By uploading User Content, you grant SubShare a limited, non-exclusive, royalty-free licence to store, reproduce, and process your files solely to provide the Service — including converting documents to PDF format via CloudConvert for in-app preview.
You must not upload content that:
- Infringes the intellectual property rights of any third party
- Contains malware, viruses, or malicious code
- Is unlawful, defamatory, or violates any third party's rights
- Is confidential third-party information that you are not authorised to share
We do not proactively monitor User Content but reserve the right to remove content that violates these Terms.
6. Subscription & Payment
Free Plan
The Free plan provides access to SubShare with limits on the number of projects, magic links, and storage, as displayed in-app.
Pro Plan (Monthly Subscription)
- The Pro plan is billed monthly via Stripe. Your subscription renews automatically at the end of each billing period.
- You may cancel at any time from your billing portal. Cancellation takes effect at the end of the current billing period — you retain Pro access until then.
- No refunds are issued for partial billing periods.
Lifetime Plan (One-Time Payment)
- The Lifetime plan is a one-time purchase granting permanent access to SubShare Pro features as they exist at the time of purchase, and future features at our discretion.
- Under the EU Consumer Rights Directive, you have a 14-day cooling-off period from the date of purchase during which you may request a full refund, provided you have not begun using the digital service.
- After 14 days, or after you begin using the service, the purchase is non-refundable.
General Billing Terms
- All payments are processed by Stripe. We do not store your payment card details.
- Prices are displayed in the app and may be shown inclusive or exclusive of VAT depending on your location.
- We reserve the right to change pricing with at least 30 days' advance notice. Existing subscribers will not be affected until their next renewal.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of SubShare
- Scrape, crawl, or systematically extract data from the platform
- Circumvent or attempt to circumvent any access controls, authentication mechanisms, or rate limits
- Use the platform to send unsolicited or bulk SMS messages beyond normal operational use
- Upload content that infringes third-party intellectual property rights
- Attempt to gain unauthorised access to other users' accounts or project data
- Use SubShare for any unlawful purpose or in violation of applicable laws
8. Intellectual Property
The SubShare platform, brand, design, software, and all related materials are owned by SubShare and protected by intellectual property law. Nothing in these Terms transfers any ownership of our IP to you.
Your User Content remains yours. We claim no ownership over documents or data you upload.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.
We make reasonable efforts to protect your data and maintain availability, but we cannot guarantee against data loss or downtime. You should maintain your own backups of critical documents.
10. Limitation of Liability
To the fullest extent permitted by applicable law, SubShare's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to SubShare in the twelve (12) months preceding the claim.
We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or your statutory rights as a consumer under applicable EU or UK law.
11. Termination
You may close your account at any time by contacting us. Upon closure, your data will be deleted within 30 days, except where retention is required by law (e.g. billing records).
We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or pose a security risk to the platform or other users. Where reasonable, we will provide prior notice.
Termination does not affect any rights or obligations accrued prior to the termination date.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the European Union. If you are based in the United Kingdom, these Terms are governed by the laws of England and Wales.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the relevant jurisdiction. If you are a consumer in the EU, you may also have the right to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of SubShare after the effective date constitutes your acceptance of the updated Terms.
The current version of these Terms is always available at this URL, with the effective date shown at the top.
